Terms & Conditions of Sale

These Terms & Conditions govern the sale of goods by Chameleon Scrubs (“we”, “us”, “our”) to you (“the customer”).

By placing an order on our website, by purchase order, or by any other means, you agree to be bound by these Terms & Conditions.

1. Definitions

Consumer: An individual acting wholly or mainly outside their trade, business, craft, or profession.

Business / B2B Customer: Any customer acting for commercial, professional, or institutional purposes, including NHS Trusts, hospitals, universities, laboratories, and organisations.

Custom or Made-to-Order Goods: Goods manufactured, customised, or sourced specifically to customer requirements, including custom colours, sizes, embroidery, logos, bulk specifications, or framework call-offs.

2. Contract Formation

A contract is formed when:

We accept your order in writing; or

We commence production; or

We dispatch the goods

All orders are accepted subject to these Terms & Conditions.

3. Purchase Order Acceptance

Acceptance of an order, whether by written confirmation, email, commencement of production, or delivery, constitutes full acceptance of these Terms & Conditions, together with our Delivery Policy, Returns Policy, Privacy Policy, and Cookie Policy.

Any terms stated in a customer’s purchase order, framework documentation, or correspondence that conflict with or seek to override these Terms & Conditions are expressly rejected, unless agreed in writing by an authorised director of Chameleon Scrubs.

4. Framework Agreements & Public Sector Contracts

Where goods or services are supplied under an NHS, public sector, university, or other institutional framework agreement, the following shall apply:

4.1 Application

Framework agreements apply only to the extent expressly agreed in writing. These Terms & Conditions continue to apply unless specifically varied by written agreement signed by an authorised signatory of Chameleon Scrubs.

4.2 Call-Off Orders

All call-off orders, purchase orders, or instructions placed under a framework:

Constitute a binding contract once accepted

Are subject to agreed specifications, pricing, quantities, and lead times

Cannot be cancelled for convenience once accepted or once production has commenced

4.3 Order of Precedence

In the event of conflict, the order of precedence shall be:

Any expressly agreed written variation signed by Chameleon Scrubs

The framework agreement

These Terms & Conditions

The customer’s purchase order or other documentation

Any customer terms not expressly accepted are excluded.

5. Products & Specifications

All descriptions, images, and specifications are provided for guidance only.

Minor variations in colour, fabric texture, sizing tolerances, or branding placement are normal and do not constitute defects.

All scrubs supplied by Chameleon Scrubs are manufactured using 100% cotton fabrics only.

6. Custom & Made-to-Order Goods

Custom or made-to-order goods are produced specifically to customer requirements.

Accordingly:

Statutory consumer cancellation rights do not apply to custom or personalised goods

Custom goods cannot be cancelled, returned, or refunded once production has commenced, unless faulty or supplied in error

Responsibility for confirming sizes, colours, artwork, and specifications rests with the customer once approved.

7. Prices & Payment

All prices are exclusive of VAT unless stated otherwise.

Payment must be made in full before dispatch unless otherwise agreed in writing.

For international orders, import duties, taxes, and customs charges are the responsibility of the customer and are not included in our prices.

8. Delivery

Delivery terms are set out in our Delivery Policy and form part of these Terms & Conditions.

Risk in the goods passes upon delivery to the nominated address.

9. Consumer Cancellation Rights

Consumers purchasing non-custom goods online have the right to cancel within 14 days of receiving the goods, in accordance with the Consumer Contracts Regulations.

This right does not apply to:

Custom or personalised goods

Made-to-order uniforms

Business-to-business orders

10. Returns & Refunds

Returns and refunds are governed by our Returns Policy, which forms part of these Terms & Conditions.

Return shipping costs are the responsibility of the customer unless goods are faulty or incorrect.

11. Business-to-Business, NHS & Bulk Orders

All NHS, hospital, institutional, framework, and bulk orders are treated as business-to-business transactions.

Such orders:

Are binding once accepted

Cannot be cancelled for convenience

Are not subject to statutory consumer cancellation rights

Goods must be inspected and any claims for shortages, damage, or incorrect items notified in writing within five (5) working days of delivery.

12. Faulty Goods

Where goods are faulty, remedies will be provided in accordance with the Consumer Rights Act 2015 (for consumers) or standard B2B principles (for business customers).

Our liability is limited to repair, replacement, or refund of the affected goods only.

13. Limitation of Liability

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

Subject to the above, we shall not be liable for:

Indirect or consequential losses

Loss of profit, revenue, or business

Operational disruption or staff costs

Total liability shall not exceed the value of the goods supplied.

14. Force Majeure

We shall not be liable for failure or delay due to events beyond our reasonable control, including courier disruption, customs delays, industrial action, or force majeure events.

15. Data Protection

Personal data is processed in accordance with our Privacy Policy and, where applicable, our Data Processing Agreement (DPA).

16. Intellectual Property

All intellectual property, designs, branding, and content remain the property of Chameleon Scrubs and may not be reproduced without permission.

17. Governing Law & Jurisdiction

These Terms & Conditions are governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction.

18. Entire Agreement

These Terms & Conditions, together with our Delivery Policy, Returns Policy, Privacy Policy, Cookie Policy, and any expressly agreed written variations, constitute the entire agreement between the parties.
